Terms and Conditions for Medical Practitioners
Medvive Health Care Technologies Telemedicine Platform
1. INTRODUCTION
These Terms and Conditions ("Terms") constitute a legally binding agreement between Medvive Health Care Technologies Limited ("Medvive" or "the Company") and any licensed medical practitioner ("Doctor" or "Practitioner") who registers to use the Medvive Telemedicine Platform ("the Platform"). By registering on and using the Platform, the Doctor agrees to be bound by these Terms.
The Platform is a technology-based service facilitating remote medical consultations between Practitioners and patients.
Medvive is not a healthcare provider and does not assume responsibility for medical advice, diagnosis, treatment, or care delivered by Practitioners through the Platform.
2. DEFINITIONS
For the purposes of these Terms:
- "Telemedicine Practice" means the delivery of medical care, consultation, diagnosis, and treatment through telecommunication technology.
- "Professional Standards" means the standards of professional conduct and medical care expected of practitioners in Nigeria, as prescribed by the Medical and Dental Council of Nigeria (MDCN), applicable laws, and ethical codes.
- "Substandard Care" means medical care that falls below the level of skill, diligence, and professional judgment reasonably expected of a qualified medical practitioner in Nigeria.
3. COMPLIANCE WITH LAWS AND REGULATIONS
Doctors shall comply with all applicable laws, regulations, and professional guidelines governing the practice of medicine and telemedicine in Nigeria, including but not limited to:
- The Code of Medical Ethics issued by the Medical and Dental Council of Nigeria (MDCN);
- The Nigerian Telemedicine Regulations (where applicable);
- The Nigeria Data Protection Act 2023 and other laws relating to patient confidentiality, privacy, and medical records.
4. RESPONSIBILITIES AND SCOPE OF LIABILITY
- Medvive shall be responsible for maintaining the Platform‘s technical functionality and for addressing platform related technical issues.
- Doctors shall remain solely responsible and liable for the standard and quality of medical care provided through the Platform, including compliance with Nigerian medical laws and professional ethics.
- Medvive shall not be liable for any medical negligence, malpractice, or substandard care arising from the Doctor‘s professional conduct.
5. DATA PROTECTION AND CONFIDENTIALITY
- Medvive shall implement reasonable technical and organizational measures to safeguard patient data on the Platform.
- Doctors shall maintain strict confidentiality of patient information and shall not disclose such information without the patient‘s informed consent, except as required by law.
6. MEDICAL RECORD-KEEPING
- Doctors shall create and maintain accurate, complete, and up-to-date medical records for all consultations conducted on the Platform.
- Medvive may retain records of consultations on the Platform for administrative and compliance purposes, but the primary responsibility for accuracy rests with the Doctor.
7. PROFESSIONAL DEVELOPMENT
Doctors are required to maintain current medical knowledge and skills in line with continuing professional development obligations for annual practicing license renewal with the MDCN.
8. LICENSING AND ACCESS TO THE PLATFORM
- Doctors must upload a valid annual practicing license issued by the MDCN to access and continue using the Platform.
- Medvive shall verify submitted licenses against MDCN records prior to granting or renewing access.
- Any falsification of license information shall constitute grounds for immediate suspension and possible legal action.
9. SUSPENSION OR REVOCATION OF LICENSE
- Where a Doctor‘s license is suspended, revoked, or otherwise restricted by the MDCN, Medvive shall immediately suspend or terminate the Doctor‘s access to the Platform.
- Doctors are under a continuing obligation to promptly notify Medvive of any changes to their licensing status.
10. NOTIFICATIONS
In the event of suspension or revocation of access, Medvive shall notify the Doctor through the email address provided at registration.
11. PROFESSIONAL CONDUCT AND CODE OF ETHICS
Doctors shall:
- Uphold the highest standards of professional conduct.
- Refrain from engaging in misconduct, including sexual harassment or inappropriate behaviour.
- Provide patients with accurate, unbiased, and evidence-based medical advice.
- Act in compliance with the MDCN Code of Ethics and other professional regulations.
12. PATIENT CARE, ASSESSMENT, AND REFERRALS
Doctors shall:
- Conduct adequate patient assessments within the limits of telemedicine.
- Refer patients to physical examinations or other healthcare professionals where the patient‘s condition so requires.
- Ensure appropriate follow up and continuity of care when necessary.
13. PRESCRIPTIONS AND MEDICATIONS
Doctors shall:
- Prescribe medications only in accordance with Nigerian laws and MDCN guidelines.
- Avoid prescribing controlled substances without proper authorization.
- Ensure that prescriptions are clinically justified and in the best interests of the patient.
14. RESTRICTED USE OF THE PLATFORM
Doctors shall not use the Platform to:
- Provide or facilitate illegal prescriptions.
- Deliver care below accepted professional standards.
- Violate patient rights or confidentiality.
- Engage in conduct that may damage the reputation or integrity of Medvive or the Platform.
15. LIABILITY AND INDEMNIFICATION
- Doctors shall be liable for all claims, losses, damages, liabilities, or expenses arising from their professional practice on the Platform, including negligence, malpractice, or regulatory breaches.
- Doctors agree to indemnify and hold harmless Medvive, its affiliates, and directors from any claims or liabilities arising from the Doctor‘s professional services rendered through the Platform.
16. TERMINATION OF ACCESS
Medvive reserves the right, at its sole discretion, to suspend or permanently terminate a Doctor‘s access to the Platform for reasons including but not limited to:
- Breach of these Terms.
- Non-compliance with applicable laws or regulations.
- Misrepresentation of credentials.
- Conduct detrimental to patient safety or the reputation of Medvive.
17. GOVERNING LAW AND DISPUTE RESOLUTION
- These Terms shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria.
- Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to arbitration in accordance with the Arbitration and Mediation Act, 2023.
- The arbitration shall be conducted in Abuja, Nigeria, before a sole arbitrator appointed jointly by the parties.
- The language of arbitration shall be English.
- The arbitral award shall be final and binding on the parties.
18. ACCEPTANCE OF TERMS
By registering on and using the Platform, the Doctor acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions, and that they shall be enforceable in accordance with Nigerian law.
